1. Acceptance of Terms and Agreement to Arbitrate

By accessing, downloading, installing, or using the Sootro application, website, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not use the Service.

ARBITRATION NOTICE: These Terms contain an arbitration clause and class action waiver. You agree that disputes will be resolved through binding arbitration rather than in court, and you waive your right to participate in class action lawsuits.

2. Description of Service

Sootro is a social networking and dating platform operated by Grande Business Time ("Company," "we," "us," or "our") that enables users to:

Create profiles and connect with other users
Discover and communicate with people based on shared interests
Participate in social activities and groups
Share content and engage in community features

The Service is provided on an "as-is" and "as-available" basis without warranties of any kind.

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 18 years of age to create an account or use the Service. By using the Service, you represent and warrant that:

You have the legal capacity to enter into these Terms
You are not prohibited from using the Service under applicable law
You have not been previously banned or suspended from the Service

5. Content and Intellectual Property

You retain ownership of content you post ("User Content"), but by posting content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to:

Modify and create derivative works for Service functionality
Sublicense your User Content to third-party service providers

We reserve the right to change pricing with 30 days' notice to existing subscribers.

9. Termination and Suspension

You may terminate your account at any time by following the account deletion process in the app or contacting us.

9.2 Termination by Us

We may suspend or terminate your account immediately and without notice if:

You violate these Terms or our policies
Your account is inactive for an extended period
We suspect fraudulent or illegal activity
Continued operation would harm other users or the Service

9.3 Effect of Termination

Upon termination:

Your right to use the Service immediately ends
We may delete your account and User Content
You remain liable for any outstanding obligations
Sections that should survive termination will continue to apply

10. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted or error-free
The Service will meet your specific requirements
Any content or information will be accurate or reliable
Defects will be corrected
The Service is free from viruses or harmful components

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from these Terms or the Service shall not exceed the greater of:

$100 USD, or
The amount you paid us in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

Your use of the Service
Your User Content
Your violation of these Terms
Your violation of any third-party rights
Any interaction with other users

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at legal@sootro.com to seek an informal resolution.

13.2 Binding Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

13.3 Class Action Waiver

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS. DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

13.4 Location and Costs

Arbitration will be conducted in King County, Washington. For claims under $10,000, we will pay all arbitration fees.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any non-arbitrable disputes shall be resolved in the state or federal courts of King County, Washington.

15. International Users

The Service is operated from the United States. If you access the Service from outside the United States, you are responsible for compliance with local laws and acknowledge that your information may be transferred to and processed in the United States.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through:

Email notification to registered users
In-app notifications
Posting on our website

Continued use of the Service after changes constitutes acceptance of the modified Terms.

17. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and us.

18. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

19. Assignment

We may assign our rights and obligations under these Terms without restriction. You may not assign your rights without our prior written consent.
